Terms of Service

These Terms of Service (the 'Terms') govern Your access to and use of the ScriptSafe website and the ScriptSafe accreditation and monitoring services (together, the 'Services'). They are a legally binding agreement between ScriptSafe LLC ('ScriptSafe', 'We', 'Us', or 'Our') and the pharmacy, organization, or individual that accesses the Services ('You' or 'Your'). By using the Services or submitting an application, You agree to these Terms. If You are agreeing on behalf of a pharmacy or other entity, You represent that You are authorized to bind that entity.
1. Definitions
The following terms have the meanings given below:
- 'Accreditation' means a determination by ScriptSafe that a pharmacy met the ScriptSafe accreditation standard as of the date of the determination.
- 'Accredited Pharmacy' means a pharmacy that currently holds ScriptSafe Accreditation in good standing.
- 'Compliance Package' means the set of accreditation status, scope, monitoring history, and summary findings that ScriptSafe makes available to Relying Parties.
- 'Relying Party' means a payment processor, acquirer, bank, advertising network, or other third party that accesses or relies on ScriptSafe accreditation information.
- 'Monitoring' means the ongoing verification ScriptSafe performs on an Accredited Pharmacy during the accreditation period.
- 'Trust Score' means ScriptSafe's internal scoring used in its assessment, which is not disclosed externally.
- 'Certification Mark' means the ScriptSafe name, accreditation badge, seal, and certificate.
2. About ScriptSafe and the Services
ScriptSafe LLC is a limited liability company organized under the laws of the State of Wyoming, United States. ScriptSafe provides an independent pharmacy compliance accreditation program and ongoing Monitoring. The Services help licensed pharmacies demonstrate compliance to Relying Parties. ScriptSafe is independent and is not a pharmacy, a payment processor, a bank, a law firm, or a government agency.
3. Eligibility and Accounts
The Services are intended for licensed pharmacies and for the Relying Parties and partners that work with them. To apply, a pharmacy must be domiciled in the United States and operate a physical location, except where ScriptSafe agrees otherwise in writing. You must provide accurate registration information, keep Your account credentials secure, and remain responsible for all activity under Your account. Notify Us promptly at info@scriptsafe.com of any unauthorized use.
4. The Accreditation Process
ScriptSafe assesses a pharmacy by reviewing the information You submit together with publicly available and third party data, including state and federal licensing records, website content, and domain registration data. ScriptSafe applies its published standard and may request additional information. ScriptSafe decides whether to grant, decline, condition, or revoke Accreditation in its reasonable discretion based on that assessment.
5. Nature of Accreditation; No Guarantee
Accreditation is a point in time, good faith opinion that a pharmacy met the ScriptSafe standard based on the information available to ScriptSafe. It is not a warranty or guarantee that a pharmacy complies with all applicable laws, that any information is free of error, or that a pharmacy will maintain compliance after the assessment. Accreditation does not constitute legal, medical, regulatory, or financial advice.
Accreditation does not guarantee that any Relying Party will approve, maintain, or continue a merchant account, advertising account, or any other service. Relying Parties make their own independent decisions. ScriptSafe makes no representation about, and is not responsible for, any decision a Relying Party makes.
6. Not a Consumer Reporting Agency
ScriptSafe assesses pharmacies as businesses. ScriptSafe is not a consumer reporting agency, the Compliance Package is not a consumer report, and the Services are not governed by the Fair Credit Reporting Act or similar laws governing consumer reports. Relying Parties may not use ScriptSafe information for any purpose governed by those laws, including decisions about individual consumers.
7. Your Responsibilities and Accuracy of Information
You are responsible for providing accurate, current, and complete information during the application and throughout the accreditation period, and for promptly updating ScriptSafe when material facts change. Providing false, misleading, or incomplete information is grounds for denial, suspension, or revocation. You agree to use the Services only for lawful purposes and in compliance with all applicable laws and professional obligations.
8. Consent to Monitoring
Accreditation includes ongoing Monitoring for the applicable period. By applying, You consent to ScriptSafe conducting Monitoring using publicly available information, the information You provide, and standard automated checks, without further notice to You. Monitoring may occur at any time and is how ScriptSafe maintains the integrity of Accreditation for Relying Parties.
9. Disputes, Appeals, and Remediation
If You believe a ScriptSafe finding is inaccurate, You may submit a correction request with supporting documentation at info@scriptsafe.com, and ScriptSafe will review it in good faith and respond within a reasonable time. If Accreditation is declined, conditioned, or revoked, You may appeal by submitting additional information for reconsideration. Where a deficiency can be remediated, ScriptSafe will, where reasonable, describe what is required so the pharmacy can address it and seek reassessment.
10. Suspension, Revocation, and Reaccreditation
ScriptSafe may suspend or revoke Accreditation at any time if a pharmacy no longer meets the standard, if Monitoring reveals a material compliance issue, or if ScriptSafe determines that Accreditation was based on inaccurate information. ScriptSafe will, where practicable, notify the pharmacy and may notify Relying Parties of a change in accreditation status. A pharmacy whose Accreditation has lapsed or been revoked may seek reassessment under the process then in effect.
11. The ScriptSafe Certification Mark
The Certification Mark may be displayed only by an Accredited Pharmacy, only while its Accreditation is in good standing, and only in the form and manner ScriptSafe authorizes. The right to use the Certification Mark ends automatically when Accreditation lapses, is suspended, or is revoked, and You must promptly remove it from Your website and materials. You may not alter the Certification Mark, use it in a misleading way, or imply a relationship with ScriptSafe that does not exist. ScriptSafe may enforce misuse of the Certification Mark to the fullest extent permitted by law.
12. Fees, Billing, and Renewal
Accreditation and renewal fees are described on the Services at the time of application and are payable in advance; the full accreditation fee is charged at the start of the application process. Of that fee, a non-refundable portion (currently eight hundred US dollars ($800)) is earned by ScriptSafe when the compliance review begins, because that review is performed whether or not Accreditation is granted. If ScriptSafe declines Accreditation, the remainder of the fee is refunded and the non-refundable portion is retained. We do not store complete card numbers; payment is handled by third party payment processors, and Your use of them is subject to their terms. Except as set out in this section or as required by law, fees are nonrefundable. If an accreditation term renews, We will disclose the renewal terms, including price and timing, before the renewal, and You may cancel future renewals as described in those terms or by contacting Us.
13. Acceptable Use
You agree not to misuse the Services. You will not attempt to gain unauthorized access to the Services or related systems, interfere with or disrupt the Services, scrape or harvest data except as expressly permitted, reverse engineer the Services, or use the Services to build a competing product. You will not submit unlawful, infringing, or harmful content.
14. Access for Relying Parties and Partners
Relying Parties and partners who are granted access to ScriptSafe accreditation information or systems must use that access only for their own evaluation and risk decisions, keep their credentials secure, and comply with these Terms and any additional terms ScriptSafe provides. ScriptSafe may condition, limit, or revoke such access at any time. Relying Parties rely on ScriptSafe information at their own discretion and risk.
15. Intellectual Property
All content and materials available through the Services, including text, designs, graphics, logos, trademarks, service marks, and the Certification Mark, are owned by ScriptSafe LLC or its licensors and are protected by law. Except for the limited rights expressly granted in these Terms, ScriptSafe reserves all rights. You may not copy, modify, distribute, or create derivative works from Our materials without Our written permission, and You may never claim Our intellectual property as Your own.
16. Confidentiality
Each party may receive nonpublic information from the other in connection with the Services. The receiving party will use that information only to perform under these Terms, will protect it with reasonable care, and will not disclose it except to those who need it and are bound to protect it, or as required by law. This section does not limit ScriptSafe's disclosure of Compliance Packages to Relying Parties as described in these Terms and the Privacy Policy.
17. Third Party Services and Links
The Services may rely on or link to third party services and websites that ScriptSafe does not control. ScriptSafe is not responsible for the content, practices, or availability of those third parties, and Your use of them is subject to their own terms and policies.
18. Service Availability and Disclaimers
ScriptSafe works to keep the Services available and accurate but does not guarantee that the Services or Monitoring will be uninterrupted, timely, or error free. Scheduled and unscheduled interruptions may occur.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT ACCREDITATION WILL PRODUCE ANY PARTICULAR BUSINESS RESULT, OR THAT DEFECTS WILL BE CORRECTED.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SCRIPTSAFE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE ACCREDITATION REVIEW GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
20. Indemnification
You agree to indemnify, defend, and hold harmless ScriptSafe LLC and its officers, directors, employees, and agents from any claim, demand, damage, loss, liability, or expense, including reasonable attorney fees, arising out of Your use of the Services, Your breach of these Terms, Your misuse of the Certification Mark, or Your violation of any law or the rights of a third party.
21. Term and Termination
These Terms apply while You use the Services. We may suspend or terminate Your access at any time if You breach these Terms or to protect the Services or others. You may stop using the Services at any time. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
22. Dispute Resolution; Arbitration and Class Action Waiver
Most concerns can be resolved by contacting Us first, and You agree to try to resolve any dispute informally before filing a claim. Except for claims seeking injunctive relief to protect intellectual property or the Certification Mark, any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration administered under the rules of a recognized arbitration body, on an individual basis. YOU AND SCRIPTSAFE WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Any claim must be brought within one year after it arises, to the extent permitted by law.
23. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Subject to the arbitration provision above, any dispute that proceeds in court will be brought exclusively in the state or federal courts located in Wyoming, and the parties consent to the jurisdiction of those courts.
24. Changes to These Terms
We may update these Terms from time to time. Changes become effective when posted on this page, and the date of the most recent update is shown at the top. Your continued use of the Services after changes are posted constitutes acceptance. If a change materially reduces Your rights, We will use reasonable efforts to provide additional notice.
25. General Provisions
These Terms, together with the Privacy Policy and any additional terms ScriptSafe provides, are the entire agreement between You and ScriptSafe regarding the Services. You may not assign these Terms without Our consent; We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Our failure to enforce a provision is not a waiver. If any provision is found unenforceable, the remaining provisions remain in full force and effect. Notices to You may be given through the Services or by email; notices to Us should be sent to info@scriptsafe.com. Section headings are for convenience only.
